This University, characterized by the seas and oceans, is a regular educational institution of undergraduate courses under the People's government of Zhejiang, It takes the marine science, aquatic, shipping and marine engineering as its dominant factors, merging into an organic whole the engineering, agriculture, science, liberal arts, education, management and medicine, and the municipal governments and of taking the province as the dominant factor to determine its important matters. Zhoushan Medical School and Zhejiang Fishery School were incorporated into This University on after the other in July and September of 2000. In June 2001, Zhejiang Marine Aquatic Research Institute entered This University as well.

This University, where the traffic is convenient and the environment pleasant, is located in the urban area of Zhoushan city, "a new city of thousand islands" with beautiful scenery, and neighbors the state-level tourist resort Mount Putuo which is well known as "Buddhist Paradise amidst the Sea and Heaven". The university covers an area of more than 110 acres, including a floorage of nearly 493,000 square meters. The university has 1047 teaching and administrative staff, including 1 academician, 537 full-time teachers, 209 of whom are teachers of high academic and technical titles. There are altogether 9005 students. There are teaching instruments and equipment amounts to over 41 million yuan. There are 13 colleges (schools) and 4 departments directly under the university, including engineering college, fishery college, marine science and technology college, management college and information college, etc. Besides, it offers 24 specialties of undergraduate courses and several specialties of professional training badly needed in the local economic construction, including marine science, shipping and marine engineering, aquatic culture, etc. Furthermore, it has also set up a marine and fishery research institute, a marine scientific research institute, a marine culture research institute, a marine economic research institute, a fishery scientific research institute, a net cage culture research center, a shipping and mechanical and electrical research institute, a deep-sea fishery training center and a marine management training center, etc. The journal of the university is published both home and abroad.

Ⅰ Party A _wishes to engage the service of Party B as_our_Foreign Cultural & Educational Expert_. The two parties, in a spirit of friendly cooperation, agree to sign this contract and pledge to fulfill conscientiously all the obligations stipulated in it.
ⅡThe period of service will be from Sep 1 ,2007 to July 1, 2008.
Ⅲ The duties of Party B (see attached pages)
Ⅳ Party B's monthly salary will be ¥ _yuan RMB. Party A will provide Party B with the travel allowance of 2200 RMB for a school academic year contract. The travel allowance will be given one month before the expiration day of this contract.
Ⅴ Party A's Obligations
1. Party A shall introduce to Party B the laws, decrees and relevant regulations enacted by the Chinese government; the Party A work system and regulations concerning administration of foreign experts.
2. Party A shall conduct direction, supervision and evaluation of Party B's work.
3. Party A shall provide Party B with reasonable working and living conditions.
4. Party A shall provide co-workers.
5. Party A shall pay Party B's salary regularly by the end of each month.
6.Party A shall pay Party B’s insurance premium during the contract , such medical insurance , hospitalization medical insurance, etc.
Ⅵ Party B's obligations
1. Party B shall observe the laws, decrees and relevant regulations enacted by the Chinese government and shall not interfere in China's internal affairs.
2. Party B shall observe Party A's work system and regulations concerning administration of foreign experts and shall accept Party A's arrangement, direction, supervision and evaluation in regard to his/her work. Without Party A's consent, Party B shall not render service elsewhere or hold concurrently any post unrelated to the work agreed on with Party A.
3. Party B shall complete the tasks agreed on schedule and guarantee the quality of work.
4. Party B shall respect China's religious policy, and shall not conduct religious activities incompatible with the status of an expert. Party B shall not spread any religious thoughts and activities in classes or lectures.
5. Party B shall respect the Chinese people's moral standards and customs.
Ⅶ Revision, Cancellation and Termination of the Contract
1. Both parties should abide by the contract and should refrain from revising, canceling, or terminating the contract without mutual consent.
2. The contract can be revised, canceled, or terminated with mutual consent. Before both parties have reached an agreement, the contract should be strictly observed.
3. Party A has the right to cancel the contract with a written notice to Party B under the following conditions;
(1) Party B does not fulfill the contract or does not fulfill the contract obligations according to the terms stipulated, and has failed to amend after Party A has pointed it out.
(2) According to a doctor's diagnosis, Party B cannot resume normal work after a continued 30-day sick leave.
Ⅷ Breach Penalty
When either of the two parties fails to fulfill the contract or fails to fulfill the contract obligations according to the terms stipulated, that is, breaks the contract, it must pay a breach penalty of US$500 (or the equivalent in RMB).
If Party B asks to cancel the contract due to events beyond control, it should produce certifications by the department concerned, obtain Party A's consent, and pay its own return expenses; if Party B cancels the contract without valid reason, it should pay its own return expenses and pay breach penalty to Party A.
If Party A asks to cancel the contract due to events beyond control, with the consent of Party B, it should pay Party B's return expenses; if Party A cancels the contract without valid reason, it should pay Party B's return expenses and pay a breach penalty to Party B.
Ⅸ The appendix of this contract is an inseparable part of the contract and has equal effect
Ⅹ This contract takes effect on the date signed by both parties and will automatically expire when the contract ends. If either of the two parties asks for a new contract, it
should forward its request to the party 60 days prior to the expiration of the contract, and sign the new contract with mutual consent. Party B shall bear all expenses incurred when staying on after the contract expires.
Ⅺ Arbitration
The two parties shall consult with each other and mediate any disputes which may arise about the contract. If all attempts fail, the two parties can appeal to the organization of arbitration for foreign experts affairs in the State Administration of Foreign Experts Affairs and ask for a final arbitration.

THE APPENDIX OF STANDARD WORK CONTRACT FOR FOREIGN
CULTURAL AND EDUCATIONAL EXPERTS
Ⅰ Work assignment
The Foreign Language College of Party A shall arrange the work assignment that Party B is supposed to undertake. Party B will mainly undertake the following courses: Oral English and English Writing, etc. Besides, Party B should give one open lecture to the whole university every three weeks. Based on Party B’s teaching experience and skills, the Foreign Language Department of Party A has the right to modify the courses Party B teaches after negotiating with Party B under the situation unexpected.
Ⅱ The salary treatment
1.Direct payment
Monetary salary _ _RMB /month. The salary will be paid before income tax monthly with RMB from August 28, 2006 to the expiration of the contract. In case the time is shorter than a whole month, the payment shall be counted by day. The daily wage shall be 1/30 of the monthly salary (the same with February). Party B shall pay the personal income tax in accord with the Personal Income Tax Law of The People's Republic of China. After Party B finishing all the work before the expiration of the contract and he leaves Party A, the payment shall also be counted by days.
2. Indirect payment
Party A will guarantee the fundamental reasonable and clean living conditions for Party B in China:
1) Providing lodging with furniture, bedding, telephone, television, refrigerator, toilet, kitchen, drinking water (3 bottles per month) heating and cooling facilities. And there are no charges for using the utilities.
2) Part B bears medical care himself.
3) International air ticket: Party A provides Party B with 6500 RMB as the international air ticket allowance. 3500RMB will be reimbursed on Party B’s arrival. Another 3000RMB will be paid at the end of the contract.
4) Party A will pay Party B 30 RMB each month as the telephone fee.
5) Party A can provide Party B with two-hour Chinese lessons per week free.
Ⅲ Work Time, Rest and Holidays
1. The work time of Party B shall be 16 class periods on average plus one
university open lecture every week. Each class period is 45 minutes.
2. If Party A arranges overtime work for Party B and Party B accepted, Party A will pay Party B 100RMB per class period as the extra bonus.
3. Party B is entitled to the following holidays and festivals in China:
Spring Festival, May Day, and other holidays stipulated by laws and regulations.
4. Party B must obey the regulations of the Teaching Affairs Department of Party A.
Ⅳ Sick leave and private affairs leave
1. Certificate from doctors for foreigners appointed by the host institution should be presented when Party B asks Foreign Affairs Department for sick leave. If the sick leaves amount to less than 30 days within one contract term (one year or one academic year), the party employed shall be paid with 100% of the salary. In case the leaves exceed 30 days, the host institution has the right to terminate the contract.
During the term of the contract, the medical care expenses of Party B while in the hospitals Party A appointed by the local government, during business errands, shall be paid by Party A; medical expenses incurred during private travels shall be the responsibility of Party B.
During the term of the contract, medical expenses incurred in Taiwan province, Hong Kong SAR, Macao SAR and places outside China will be covered by the Party B.
2. Private affairs leave of Party B shall be approved by the Foreign Affairs Department. The host institution will deduct the salary by day. In the contract term (one year), the private affairs leaves should not exceed 10 days. The continuous private affairs leave shall be no more than 3 days, and two days' salary will be deducted for each day thereafter.
In case of absence from work without informing the Foreign Affairs Department, 200RMB will be deducted for each class period absent. For serious circumstances, the host institution has the right to terminate the contract and investigate the liability of Party B for violation of the contract.
3. Without the Foreign Affairs Department’s permission, Party B cannot join any activities or business in or out of the campus which are held by an individual or groups. In case of the Party B’s joining these kinds of activities, Party B must pay a fine of at least 500RMB. And Party B will be fired by Party A if Party B continues to do so after Party A’s warning.
Ⅴ.Confirmation and change of every term of the appendix of the standard contract must be stipulated in written form through negotiation between the two parties. Any oral agreement will be regarded as invalid.
Ⅵ. Party B shall bear the body check fee and visa fee himself. Generally. Party A will send all the documents for Party B to get the Z visa in the nearest embassy in his country.
This appendix has equal validity of the standard contract and comprises an integral part of the contract.
