As an institution of higher education,This Institute specializes in producing IT talents, a model vocational education institute of software technology in Guangdong Province, and a training base for competency-based talents that are in short supply. C Teaching Building

The institute is located in Nanhai Software Technology Park, in a key area of the Pearl River Delta, with a well-developed economy. The park is characterized by an IT and academic atmosphere. Besides, it enjoys a beautiful landscape with water and hills. The institute has an area of 35000 square meters containing world class teaching and experiment buildings, a life-long education center, and the Students Office and Venture Office. 1. Party A This Institute wishes to engage the service of Party B        as a foreign teacher to teach English. The two parties, in a spirit of friendly cooperation, agree to sign this contract and pledge to fulfill conscientiously all the obligations stipulated in it.

5. Party A's Obligations

a. Party A shall provide relevant information on laws, decrees, and relevant regulations enacted by the Chinese government and shall orient Party B with its organization and business process and procedures as well as regulations concerning the administration of foreign faculties.

向乙方介绍中国有关法律、法规和甲方有关工作制度以及有关外国专家的管理规定
b. Party A shall direct, supervise and evaluate Party B's work.

对乙方的工作进行指导、检查和评估
c. Party A shall pay Party B’s monthly salary on time.

每月按时支付乙方报酬

6. Party B's Obligations

乙方的义务
a. Party B shall observe the laws, decrees and relevant regulations enacted by the Chinese government and shall not interfere in China's internal affairs.

遵守中国法律、法规，不干预中国内部事务
b. Party B shall observe any regulations concerning the administration of foreign teachers and shall accept Party A's arrangement, direction and supervision in regard to his/her work. Without Party A's consent, Party B shall not render service elsewhere or concurrently hold any post unrelated to the work agreed upon by Party A.

遵守甲方的工作制度和有关外国专家的管理规定，接受甲方的工作安排、业务指导、检查和工作评估。未经甲方同意，不得兼任与甲方无关的其它劳务。
c. Party B shall complete the tasks agreed upon on schedule and guarantee the quality of work.

按要求完成工作任务，保证工作质量
d. Party B shall respect China's religious policies, and shall not conduct religious activities incompatible with the status of a teacher.

尊重中国的宗教政策。不从事与专家身份不符的活动
e. Party B shall respect the Chinese people's moral standard and customs.

尊重中国人民的道德规范和风俗习惯

7. Revision, Cancellation and Termination of the Contract

合同的变更、解除和终止
A. Both parties should abide by the contract and should refrain from revising, canceling, or terminating the contract without mutual consent.

双方应信守合同，未经双方一致同意，任何一方不得擅自更改、解除和终止合同
B. The contract can be revised, canceled, or terminated with mutual consent. Unless both parties have reached an agreement, the contract should be strictly observed.

经当事人双方协商同意后，可以变更、解除和终止合同。在未达成一致意见前，仍应当严格履行合同
C. Party A has the right to cancel the contract with a written notice to Party B under the following circumstances:

甲方在下述条件下，有权以书面形式通知乙方解除合同：
a. Party B does not fulfill the contract or does not fulfill the contract obligations according to the terms stipulated and has failed to improve after receiving a written warning from Party A.

乙方不履行合同或履行合同义务不符合约定条件，经甲方指出并给予书面警告后，仍不改正的

b. Party B conducts religious activities incompatible with his/her status.

在中国境内期间从事与中国法律、法规不符的活动

c. According to the doctor's diagnosis, Party B cannot resume normal work after 30 days of sick leave.

根据医生诊断，乙方在病假连续30天后不能恢复正常工作的
D. Party B has the right to cancel the contract with a written notice to Party A under the following circumstances:

乙方在下述情况下，有权以书面形式通知甲方解除合同：
a. Party A has not provided Party B with necessary working and living conditions as stipulated in the contract.

甲方未按合同约定提供乙方必要的工作和生活条件
b. Party A has not paid party B as scheduled without any reason.

甲方未向乙方作任何合理解释，不按时支付乙方报酬。

9. Breach penalty

违约金
when either of the two parties fails to fulfill the obligations according to the terms stipulated, it must pay a breach penalty of US$500 to 2000 (or the equivalent in RMB).

当事人一方不履行合同或者履行合同义务不符合约定条件，即违反合同时，应当向另一方支付500―2000美元的违约金
If Party B asks to cancel the contract due to events beyond control, it should produce certifications by the department concerned, obtain Party A's consent and pay its own return expenses. If Party B cancels the contract without a valid reason, it must pay its own return expenses and pay a breach penalty US$ 2000 to Party A.

乙方因不可抗拒事件要求解除合同，需出具有关机构证明，经甲方同意后，离华费用自理；乙方若无故解除合同，除离华费用自理外，还应当向甲方支付2000美元违约金
If Party A asks to cancel the contract due to events beyond control, with the consent of Party B, it should pay Party B's return expenses; If Party A cancels the contract without a valid reason, it should pay Party B's return expenses and pay a breach penalty to Party B.

甲方因不可抗拒事件要求解除合同，经乙方同意后，离华费用由甲方负担；甲方若无故解除合同，除负担乙方离华费用外，还应当向乙方支付违约金

10. This contract takes effect on the date signed by both parties and will expire when the contract ends. If either of the parties asks for renewal, it should forward its request to the other party 90 days prior to the expiration of the contract.

本合同自双方签字，乙方获得中国政府有关机关签发的在华工作许可证后正式生效，合同期满自行失效。如乙方希望与甲方续签新一年合同，应在本合同期满90天前以书面方式提出

11. Party B shall bear all expenses incurred if it stays on after the contract expires, but Party B can still live in the apartment provided by Party A for a week after the contract ends.

乙方合同期满后，在华逗留期间的一切费用自理，但仍可在甲方提供的住房居住一周

12. The Attachment of this contract is an inseparable part of the contract and has equal legal status.

合同附件的内容是此合同不可分割的部分，与此合同享有同样的法律效力，甲乙双方应同样遵守附件条款规定

13. Arbitration

仲裁
The two parties shall consult with each other and mediate any disputes which may arise about the contract. If all attempts fail, the two parties can apply for arbitration at the arbitration bureau in Foshan.

当事人双方发生合同纠纷时，应尽可能通过协商或者调解解决。若协商、调解无效，可向佛山有关仲裁机构申请仲裁

Party B’s duties:

乙方工作职责

1. Prepare lessons prior to teaching, including Syllabus, Course Introduction, Lecture Plan and PPT; conduct English lessons; assess students’ work

备课，包括编写课程大纲、课程介绍、课程教案制作和使用幻灯片，授课，评判学生作业
2. Prepare, administrate, grade and record exams and exam scores.

组织考试，阅卷，做成绩分析
3. Take an active part in student extra-curricular activities

参与甲方的学生课外活动

4. Party B is obliged to set three hours (not including class hours) for administrative duties, which include attending workshops, seminars, and faculty/staff meetings and also participating in the school’s promotional activities, tutoring students as assigned by the school and assisting in developing the school’s regular teaching plan, as well as other jobs arranged by the department every week.

除课堂教学时间外，乙方有义务每个星期腾出三个小时参加行政事务工作，包括参加研讨会、教职工会议以及学校的宣传活动或学生活动；对学生进行个别辅导；参与制订教学计划

Party B should be subordinated to arrangements according to the International Office and English department’s need and accept its overall assessment. 

乙方应服从国际合作部与英语系对其具体工作的安排，并且接受其评估和综合考核

Working hours:

工作时间

Work according to the time - table of Party A from Monday to Friday each week (except for Chinese holidays and Christmas) and guarantee the quality of its work.

乙方应根据甲方的教学安排，按时、保质地完成教学任务，工作时间从星期一到星期五（中国国家法定假日与圣诞节调休除外）

Workload:

工作量

18 classes (40 minutes per class) every week on average.

课堂教学时间为平均每周18学时。

Within one academic semester, should Party B needs to teach beyond 18 classes every week on average, overtime payment will be paid at the rate of 80 RMB per class. The total amount of overtime payment will be paid off one time at the end of each semester.

在一个学期内，如乙方工作量超过平均每周18学时，甲方将支付乙方超额课时费80元/学时，所有超额课时费将于每个学期末一次性付清。

Salary:

薪酬

The salary will be paid from the first teaching day, if it is less than one month, the salary will be counted by day (according to the Labor Law of China, 22 working days equals one month) The salary is stipulated in the contract and it will be paid on the 15^th of each month. If Party B arrives after the 15^th, the salary will be paid the next month and Party B should pay its own personal income tax if charge because of this situation. The salary will be paid after the 15^th if the 15^th is a public holiday.

工资自教学工作开始之日起计算；工作不足一个月的按日计发（按照中国劳动法规定，1个月工作日为22天）。每月15日发放工资，如乙方在15日后到达，当月工资推至下月，与下月工资一起发放，因此而产生的个人所得税的变化由外教承担。如遇法定节假日，将提前或延后支付

According to P.R.C. Regulations of Personal Income Tax, Party B should pay his/her own personal income tax, which is based on the basic salary and overtime payments. The personal income tax will be deducted directly and paid by Party A. The tax rate calculation formula is: (basic salary + overtime payments—4800)×5%.

根据中华人民共和国税法乙方应缴纳个人所得税，缴税的范围含月薪和超合同学时课时费。个人所得税每月由甲方代其支付，缴税额度的计算公式为：（月薪＋超合同学时课时费－4800）×5%

According to the regulations of Human Resource Department, the calculated periods and methods of Party B’s salary will be the same as Chinese employees.

根据人力资源部规定，乙方工资核算周期与方法将与中国员工一致。

Calculated periods: from the 11^th of every month to the 10^th next month.

工资核算周期：每月11号至次月10号

Dress code:

穿着要求

No sleeveless garments, short pants or backless shoes at school

工作时不能穿着无袖衣服、短裤与拖鞋

Free facilities and other items:

住宿及相关设施

Accommodation—free accommodations consisting of an apartment that has one bedroom, one living room, one kitchen, one bathroom. For a full list of items provided, please see Attachment 2 of the contract.

住宿—甲方免费向乙方提供一套公寓，包括一个卧室，一个客厅，一个厨房，一个卫生间。家具和家用电器（明细见公寓用品清单）

Party B should pay his /her own utility bills, such as telephone, electricity, water, gas, TV license and broadband.

合同期间，乙方自行支付电话费、电费、水费、煤气费以及数字电视费、互联网费

Party B should ensure all items listed in Attachment B are kept in good condition, and all items should be returned upon completion of his/her contract. All damaged items should be replaced by Party B.

乙方需爱惜、维护甲方提供的设施以及用品，在合同期满后，归还甲方。属非自然损坏物品，乙方应予赔偿

Without the approval of Party A. Party B should not change the original look of the apartment, otherwise Party B will be responsible for any consequences occurred.

在未取得甲方同意前，乙方不得擅自改变房间原貌,否则乙方将承担所有责任

Air fares:

国际机票
Party A will pay for a round trip ticket, but Party B should buy its own air ticket to come to China based on the shortest possible route at economy rate. Party B should confirm the price and the route with Party A before buying an air ticket.

甲方向乙方提供自其永久居住地至广州，最短路线经济舱往返国际机票一张。乙方在订来华机票前，须与甲方确认票款与路线

If Party B buys a single trip ticket, it will be reimbursed at the end of first semester. If Party B buys a round trip ticket, half of the fare will be reimbursed at the end of first semester and the remaining fare will be reimbursed at the end of the contract period. Party B should provide invoice. Party B should remind Party A to buy the return ticket one month before the contract ends.

如购买单程机票的，在第一学期末给予报销；购买往返机票的，第一学期末报销一半，合同完成时第二学期末报销其余一半。报销机票时乙方应同时提供购票发票，如乙方来华时购买的是单程票，应提前至少一个月告知甲方为其购买返程机票

Party A will pick up Party B at the airport and see Party B off after the contract ends. Party A will pay the transportation fee between the airport and the school. Party B will pay any expense if its luggage is overweight.

乙方来华时，甲方负责到机场接机，乙方离职时，甲方负责送到机场，交通费用由甲方承担。甲方不承担乙方因行李超重所产生的费用

If Party B does not return to its country due to personal reasons after the contract ends. Party A will provide a ticket to somewhere else for Party B but the price of the ticket should be equal to the return ticket to Party B’s own country Party A will not provide any cash.

如乙方因个人原因，在合同结束时不返回原居住地，可与甲方协商提供前往其它地方的等额机票一张，甲方不支付乙方现金

Visa, foreign expert certificate and temporary residence certificate:

签证、外国专家证及居留证

Party A will apply and pay for a working visa, foreign expert certificate, temporary residence certificate, and health checks for Party B. If Party B applies for a working visa right after entering China, Party A will not be responsible for any costs.

合同期间甲方为乙方免费办理工作签证、外国专家证、居留证，支付办理以上证件所涉及的包括体检在内的各项费用。如乙方在入境前即申办工作签证，甲方不承担签证费用。

Party B should arrive at Foshan a week before the contract starts for the purpose of processing any necessary procedures for working in China.

乙方应提前至少一周到达甲方所在地，以便为其集中办理各项在华工作与居留手续。

Holidays:

假期

Party B shall enjoy the legal holidays stipulated by Party A and the Chinese government (Dates are according to the formal notice of Party A)

乙方享受甲方和中国国家法定假期（起始日期按照甲方的正式通知为准）

If Party A rearranges the holiday according to the stipulation of Chinese government or the school, Party B shall fulfill the work stipulated by Party A.

如果甲方根据国家规定或校方特殊规定节假日调休，乙方须按照甲方规定履行工作内容

Party B can not ask for travel leave for except holidays. For Christmas, Party B shall enjoy two days off with pay.

除非假期，乙方不能请假旅行。在圣诞节（12月25日、26日）乙方可享受带薪休假两天

Sick leave and other leave:

病假和事假

Party B can ask for sick leave during the contract period and will be paid half salary for the sick leave period. Sick leave for one kind of sickness can not exceed 30 days continuously. Party A has the right to terminate the contract if Party B’s leave exceeds 30 days according to the regulations issued by the China State Bureau for Foreign Experts.

乙方在合同期间因病可请病假。病假期间乙方可按缺勤天数获取相应日工资的50%。一项疾病的病假不能连续超过30天，合同期内累计请假天数不得超过30天，否则甲方有权终止合同
Prior permission for all personal leave during school terms must be obtained from Party A. Otherwise Party A may terminate the contract.

乙方在未获得甲方同意的情况下，不得因个人原因缺勤，否则甲方有权中止合同。

Health and Medical insurance

健康和医疗保险
If Party B’s health fails to meet the requirements (including major diseases and chronic illnesses) will not be employed by Party A. If Party B misrepresented its physical condition, Party B will be responsible for all results; Party A has the right to refuse employment and is not responsible for paying any expenses incurred.

Party A is not responsible for any medical expenses incurred by Party B for preexisting medical conditions prior to Party B's arrival in Nanhai Neusoft.

体检不合格者（包括重大疾病、慢性疾病），甲方不予聘用，不支付乙方进入中国所产生的旅行及签证等费用。如乙方没有据实告知甲方其健康状况，一切后果由乙方自行承担，甲方有权解雇乙方并不支付任何费用。甲方不负责乙方到达甲方履行入职手续前所发生的意外事故及疾病的医疗费用

Party A will buy medical insurance in China for Party B (not including its spouse and children) according to the standards of the China State Bureau for Foreign Experts after the contract starts. If Party B has bought its own medical insurance that covers all the aspect. Party A will not buy medical insurance for Party B if both parties consent.

甲方为乙方（不包含乙方配偶及子女）在中国境内购买医疗保险。保险额度参照中国外国专家局规定的标准，包括乙方在工作期间所发生的重大疾病、住院医疗、意外伤害。若乙方在中国境外已购买覆盖其在华期间所发生大病和住院医疗的费用，经协商甲方可以不再为其购买中国境内医疗保险。

Confidentiality:

Party B shall not disclose its salary or any other information of the contract to a third party without the consent of Party A.
